As part of its major transition from a nonprofit corporation to a for-profit entity, OpenAI is assembling a group of experts to provide advice on how its philanthropic efforts can best address the most pressing challenges faced by nonprofit organizations today.

This advisory group will include feedback from leaders and communities in critical sectors such as health, science, education, and public services, with a particular focus on the issues affecting the state of California, where OpenAI is headquartered. The group will be formally introduced in April, with the insights gathered being presented to OpenAI’s board of directors within the next 90 days.

In a blog post, OpenAI emphasized that the board will integrate these expert recommendations into its ongoing efforts to evolve the organization’s nonprofit arm before the end of 2025. “Engaging with the philanthropic community and those directly involved in these sectors is vital to ensure that OpenAI’s resources are deployed in the most impactful way,” the company stated.

Founded in 2015 as a nonprofit research lab, OpenAI initially focused on advancing artificial intelligence through independent, charitable efforts. However, as its research became increasingly capital-intensive, the company modified its structure to include external investments from entities like Microsoft, transitioning to its current model—a hybrid organization with both a nonprofit overseeing a for-profit entity. This setup includes a “capped profit” structure for investors and employees.

Looking ahead, OpenAI aims to transition its for-profit side into a traditional corporation, offering stock shares to the public, while its nonprofit arm would receive billions of dollars to relinquish control of the for-profit business. The success of this transition is crucial, as failing to complete the shift by the year’s end could result in substantial financial penalties. Specifically, SoftBank, one of OpenAI’s major backers, has threatened to retract billions in pledged funding if the conversion isn’t completed as planned.

By actively seeking input from experts, OpenAI aims to ensure that its philanthropic initiatives continue to contribute meaningfully to society even as it navigates this pivotal transition.
